IonQ closed its purchase of Elisity on November 4, paying $1.15 billion in IonQ common stock for the Zero Trust security company. Elisity's software discovers a customer's connected assets, surfaces network risks and uses the network itself to enforce identity-based access rules, whatever technology that network runs on.

The buyer sells post-quantum cryptography (PQC) and quantum key distribution (QKD). IonQ says Elisity's asset and risk data will let customers decide where to deploy those tools first as they defend against "Harvest Now, Decrypt Later" attacks. In those attacks, encrypted data is collected today to be cracked once quantum machines can do it. IonQ calls the result one security architecture covering PQC, QKD and Zero Trust.

The closing terms track the October agreement. The table sets the two side by side.

At those price bounds, $1.15 billion of stock works out to about 23 million to 35 million IonQ shares; IonQ did not give the share count at closing. It had guided to a fourth-quarter close.

IonQ says Elisity's customers will keep the same teams and platform, and that existing deployments and their identity policies will carry forward. Elisity CEO James Winebrenner stays in the job. He puts the company's installed base at more than 100 deployments and says "we'll extend the Elisity platform customers already use to help them prepare for post-quantum cryptography." Elisity says a growing number of its customers are in the Fortune 500.

IonQ's October announcement links the deal to a June 22 White House executive order and to recent orders speeding the federal government's move to PQC. It also says Elisity gives IonQ expanded channels for selling PQC, QKD and quantum computing into enterprise and government networks. The shared roadmap will extend Elisity's IdentityGraph, which correlates identity, asset and risk data, with cryptographic inventory and risk information.
