Anthropic is committing 5% of its shares to the Anthropic Public Benefit Fund, a new wholly owned LLC, subject to stockholder approval, the company says. The stake is designed to grow: for every 50% increase in Anthropic's value above a set baseline, the board may add another 2%.
Anthropic has not disclosed that baseline. It plans to publish the valuation milestones, along with the Fund's structure and governance, in the coming months, and to report on its progress against its mission in an upcoming public benefit report.
Anthropic chose an LLC over a 501(c)(3) so the Fund can move between forms of giving, and it says the Fund might explore large donations to traditional nonprofits or direct distributions to specific populations. None of the Anthropic equity the LLC holds will go to lobbying or political giving, in the US or abroad.
Most of Anthropic's mission work stays inside the company. As a public benefit corporation, it runs AI safety and interpretability research, applied biomedical research and discounts on Claude for nonprofits and scientific institutions there, because those efforts also carry for-profit value. Anthropic says the Fund will give it more flexibility and scale to pursue that mission in new ways.
Anthropic's example is AI's effect on the labor market. It has already committed $200 million to the Economic Futures Research Fund, which backs outside research on interventions and plans to fund mostly projects of $5 million to $30 million, proposed by universities, research institutes and nonprofits rather than by individuals. That fund's five priority areas include modernizing income support for AI-driven displacement and building worker stakes in AI-driven growth. Given the pace of AI progress, Anthropic says, bolder approaches may be needed, and the new Fund will have the versatility to pursue them.
Anthropic also sets the stake against a common pay practice: tech companies often grant executives escalating compensation awards, and Anthropic says it is directing that equity to the public benefit instead. The company's co-founders pledged to donate 80% of their equity holdings when it was founded, and since then an equity donation match program has let employees pledge shares that Anthropic matches; about half of employees take part.
Anthropic says that, combined with the new 5%, roughly 20% of its shares will be dedicated to the public good, plus any shares the valuation milestones add. By that arithmetic, which rests on a rounded figure, the earlier pledges account for roughly 15%: the co-founders' pledge and the employee program with Anthropic's matching shares.
